1. Agreement to Terms

4.2 Pricing and Payment

Prices for our services are as quoted in proposals or service agreements. All prices are in US Dollars unless otherwise specified. Payment terms are Net 30 unless otherwise agreed in writing.

4.3 Service Level Agreements

Specific service level agreements (SLAs) will be defined in individual service contracts. Standard support hours are Monday through Friday, 9:00 AM to 6:00 PM EST, excluding holidays.

5. Prohibited Activities

You may not access or use the services for any purpose other than that for which we make the services available. The services may not be used in connection with any commercial endeavors except those specifically endorsed or approved by us.

Prohibited activities include but are not limited to:

• Systematic retrieval of data to create a collection or database
• Circumventing security-related features of the services
• Engaging in unauthorized framing or linking to the services
• Tricking, defrauding, or misleading us or other users
• Engaging in any automated use of the system
• Interfering with the proper working of the services
• Using the services to compete with us
• Deciphering, decompiling, or reverse engineering any software

6. User Generated Content

6.1 Responsibility

We do not warrant that the services will be uninterrupted, secure, or error-free, that defects will be corrected, or that the services are free of viruses or other harmful components.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GME LTD USA, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

• Loss of profits, data, use, or goodwill
• Service interruption or computer damage
• Cost of substitute services
• Any damages resulting from use or inability to use our services

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING OR USING THE SERVICES IN THE SIX MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless GME Ltd USA and its licensees, employees, contractors, agents, officers, and directors from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

• Your use of and access to the services
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit through our services

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Nassau County, New York, and you hereby consent to personal jurisdiction and venue therein.

13. Dispute Resolution

13.1 Informal Resolution

We prefer to address your concerns without a formal legal case. Before filing a claim against GME Ltd USA, you agree to try to resolve the dispute informally by contacting us.

13.2 Binding Arbitration

If we cannot resolve the dispute informally, any dispute arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

13.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

15. Waiver

No waiver by the Company of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the services, constitute the entire agreement between you and GME Ltd USA regarding the use of the services.

17. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our services after revisions become effective, you agree to be bound by the revised terms.
